The terms and conditions below (“Terms and Conditions”) govern your purchase of available Environmental Systems Research Institute, Inc. (“Esri”) licensed products from Esri Eastern Africa Limited (“us”, “we”, “our” or “Esri Eastern Africa”, as applicable) through Esri Eastern Africa’s online store (“Online Store”).

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BELOW PLACING AN ONLINE ORDER.

Our Right to Change These Terms and Conditions:

We reserve the right, at our sole discretion, to amend, revise, or replace these Terms and Conditions, in whole or in part, at any time and without prior notice. Any such amendments shall become effective upon their posting on our website. It is your responsibility to review the Terms and Conditions periodically for any changes. The most recent revision date is August 15, 2025. By placing an order for Esri products (“Order”) through our Online Store, you expressly agree to be bound by the Terms and Conditions in effect on the date of your Order.

Customer Account Registration and Security:

To place an Order, you must register for a customer account. You agree to provide accurate, current, and complete information as requested during the registration process and to promptly update such information to maintain its accuracy and completeness. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities conducted under your account.

You must notify us immediately of any unauthorized use of your account or password, or any other breach of security, by contacting store@esriea.com Esri Eastern Africa shall not be liable, whether directly or indirectly, for any loss or damage arising from your failure to comply with this section or from any delay in closing your account after becoming aware of a security breach.

Pricing:

All prices listed on our Online Store are quoted in United States Dollars (USD) and are subject to change at any time without prior notice.

Payment and Delivery:

By placing an Order through our Online Store, you agree to pay in full the listed price and all applicable taxes for the Esri products ordered. Payment may be made only by credit card. If you choose to pay by credit card, you represent and warrant that you are the authorized cardholder and that the credit card information provided is accurate and complete. You authorize us to charge the full Order amount to the designated credit card. When entering billing details during checkout, you must provide the billing address associated with the credit card used.

Your credit card will be charged upon completion of your Order. Once payment has been processed, you will receive confirmation that your purchased Esri products are available for electronic download.

Privacy:

We do not store any credit card information on our systems. Your personal information for credit card payment will be collected by a U.S. based third party payment processor, Spreedly, Inc. (“Spreedly”). Please note that such personal information provided to complete your Order will be processed by

Spreedly outside of the Esri Eastern Africa territory.

Please carefully review Spreedly’s Privacy Policy which is available on Spreedly’s website at https://www.spreedly.com/privacy/. By placing an Order, you are confirming that you have read, fully understand and agree to the terms of Spreedly’s Privacy Policy.

Your use of our Online Store is subject to the terms of our Privacy Policy, which is incorporated into and made part of these Terms and Conditions. Please carefully review our Privacy Policy which is available on our website at https://www.esriea.com/privacy-policy/. By using our Online Store, you are confirming that you have read, fully understand and agree to the terms of our Privacy Policy.

Refunds:

If you are not satisfied with an Esri product you have purchased, you may return it within thirty (30) days of the purchase date. To initiate a return, please contact our Customer Care Department at +254 712 110 422 or store@esriea.com for assistance with the return process.

Errors:

Esri Eastern Africa makes reasonable efforts to ensure that the information provided on its Online Store is accurate; however, no representation or warranty, express or implied, is made regarding the accuracy, completeness, or reliability of such information.

We expressly reserve the right to correct any errors, inaccuracies, or omissions and to modify, update, or remove information on the Online Store at any time without prior notice.

If an error occurs in the processing of your Order, we reserve the right, at our discretion, to:

Correct the error and adjust your Order; accordingly, or

Cancel the Order and issue a refund of any amounts charged.

Your sole and exclusive remedy in the event of such an error is the cancellation of your Order and a refund of any amounts paid.

Esri Product License Terms
Esri is the third-party licensor for all Esri products offered for purchase through Esri Eastern Africa’s Online Store.

Unless superseded by a signed Esri license agreement between you and Esri, all Esri products ordered are licensed solely under Esri’s standard licensing terms and conditions (“Esri Product Licensing Terms”), available at: https://www.esri.com/en-us/legal/terms/master-agreement-product. Esri may update these terms from time to time, and the most current version will be posted on Esri’s website for licensees to review periodically. A copy may also be requested from us directly.

If you have an existing signed Esri license agreement covering your Order, that agreement will govern. In all other cases, the Esri Product Licensing Terms will apply.

Maintenance and Support for Esri Products
We provide maintenance and technical support for eligible Esri products purchased from us in accordance with the most current version of our Software Maintenance Program Policy for Esri products. The policy is available at https://www.esriea.com/customercare/ and may also be requested from us directly.

Disclaimers and Limitation of Liability
Esri Eastern Africa’s website and Online Store are provided strictly on an “as is” and “as available” basis. Esri Eastern Africa makes no warranties, representations, guarantees, or covenants, express or implied, that its website or Online Store will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Esri Eastern Africa further makes no warranty, representation, guarantee, or covenant regarding the accuracy, reliability, completeness, or currency of any information contained on its website or Online Store.

To the fullest extent permitted by law, Esri Eastern Africa shall not be liable for any inability to execute an Order or obtain the Esri products related to any such Order, regardless of cause.

All product disclaimers and limitations of liability in the applicable Esri license agreement are hereby incorporated by reference and shall apply in full to your Order.

Indemnity
You agree to indemnify, defend, and hold harmless Esri Eastern Africa, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use or misuse of the Online Store; or

Your breach of these Terms and Conditions.

This indemnity obligation shall survive the termination or expiration of these Terms and Conditions and your use of the Online Store.

Applicable Law
These Terms and Conditions shall be governed by, and construed in accordance with, the laws of the host country within the Esri Eastern Africa market territory.

Force Majeure
Esri Eastern Africa shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions to the extent that such failure or delay is caused by events beyond its reasonable control. Such events include, but are not limited to, acts of God, natural disasters, pandemics, epidemics, public health emergencies, cyber-attacks, major power outages, significant disruptions to public infrastructure, government orders, or any other event constituting force majeure. The period of performance shall be extended for the duration of the delay caused by such events.
